04/17/15: G&R Attorney Moderates MBA CLE on Close Corporation Litigation

Reflecting the firm's expertise in closely held corporation and other commercial and business disputes, Member Matt Ginsburg recently moderated a continuing legal education seminar sponsored by the Massachusetts Bar Association's Complex Commercial Litigation Section, and its Business Litigation Committee.  The seminar featured five panelists:  Matt Ginsburg of Gilbert & Renton; Julie Green of Todd & Weld, Paul Klehm of Krasnoo, Klehm & Falkner, Dan Ryan of Cayan, and The Honorable Janet Sanders, Presiding Justice of the Superior Court's Business Litigation Session.

The seminar, titled "Trends, Traps and Trouble Avoidance," covered four legal topics unique to closely-held corporations:  the status of minority shareholder "freeze out" law in the wake of recent impactful decisions of the Massachusetts Supreme Judicial Court (addressed by Mr. Ginsburg); attorney-client privilege issues arising in close corporations (Ms. Green); the pre-filing demand requirement for shareholder derivative lawsuits (Mr. Klehm); and crafting shareholder and other agreements to head off costly internecine litigation (Mr. Ryan).  

Hosted by law firm Mintz Levin, the seminar had at least 55 attendees.
